TERMS OF SERVICE & IMAGE LICENSING AGREEMENT
Milehi.ai Real Estate Photography & Drone Media Services

1. Scope of Services

Photographer agrees to provide real estate photography, videography, aerial drone imaging, and related media services (“Media”) for the property located at the address specified in the booking confirmation (“Property”). Services include only those specifically listed in the invoice or order confirmation.

2. Copyright Ownership (Critical Clause)

All photographs, videos, drone footage, and derivative works produced by Photographer are protected by U.S. Copyright Law and remain the exclusive intellectual property of Photographer at all times.

No ownership rights are transferred to Client. Client receives only a limited, non-exclusive, non-transferable license to use the Media as described below.

3. License Grant

Upon full payment, Client is granted a limited license to use the Media solely for:

  • Marketing the Property for sale or lease

  • MLS listings

  • Print and digital real estate marketing

  • Social media promotion of the Property listing

This license is valid only while Client has an active listing agreement or marketing relationship with the Property.

4. Prohibited Uses (Strict Restrictions)

Client may NOT, without written permission:

  • Transfer or sell the Media to another agent, broker, builder, stager, designer, or homeowner

  • Reuse Media after the property sells, expires, or is withdrawn

  • Use Media for another property listing

  • Alter, edit, apply filters, or modify images beyond standard MLS cropping unless authorized

  • Submit Media to stock libraries, contests, or publications

  • Allow third parties to download or reuse Media

Unauthorized use constitutes copyright infringement and may result in legal action, statutory damages, and licensing fees up to 3× standard rate per image plus legal costs.

5. Brokerage & Team Use

The license applies only to the individual agent or brokerage that ordered the service.
If another agent lists the same property later, they must purchase a new license from Photographer.

6. Builder / Designer / Vendor Licensing

Builders, designers, stagers, contractors, or other vendors appearing in the Media do not receive usage rights unless they separately license the Media from Photographer.

7. Payment Terms

  • Payment is due prior to delivery unless otherwise agreed in writing.

  • Media will not be released until invoice is paid in full.

  • Late payments may incur a 5% monthly fee.

8. Cancellation & Rescheduling

  • Cancellation within 24 hours of shoot: $0 fee

  • Same-day cancellation or no-show: 50% of shoot fee

Weather-related drone rescheduling is free.

9. Drone Operations Disclaimer

All drone services are conducted in compliance with FAA Part 107 regulations. Photographer reserves the right to cancel aerial operations if conditions are unsafe or restricted.

10. Property Readiness

Client is responsible for ensuring Property is ready for photography. Photographer is not responsible for cleaning, staging, or moving items. If the property is not ready, Photographer may:

  • Photograph as-is, or

  • Leave and charge a reshoot fee.

11. Liability Limitation

Photographer is not liable for:

  • Listing delays

  • MLS rejections

  • Marketing performance

  • Indirect or consequential damages

Total liability is limited to the amount paid for services.

12. Delivery & Archival

  • Delivery timeframe: typically within [X] hours unless otherwise stated.

  • Files are archived for 30 days. Retrieval after that may incur a fee.

13. Portfolio & Promotional Use

Photographer retains the right to use all Media for:

  • Portfolio

  • Website

  • Social media

  • Marketing materials

  • Competitions or publications

Unless Client submits a written confidentiality request before the shoot.

14. Indemnification

Client agrees to indemnify and hold Photographer harmless from any claims arising from:

  • Unauthorized use of Media

  • Property access issues

  • Copyright violations by Client or third parties

15. Acceptance of Terms

Booking services constitutes acceptance of these Terms. Client affirms they have authority to grant Photographer access to the Property and permission to photograph it.
